§1 Application and order of precedence

1.1 Quotations, order confirmations and deliveries from Winab Vikväggar AB (“Winab”) are subject to Orgalim S2022 – General Conditions for the Supply of Mechanical, Electrical and Electronic Products (“Orgalim S2022”), as amended and supplemented by these Supplementary Terms.

1.2 In case of conflict the documents apply in the following order: (a) a written agreement or Winab’s order confirmation, (b) these Supplementary Terms, (c) Orgalim S2022.

1.3 The Purchaser’s general terms shall not apply, even if attached to an order, unless Winab has accepted them in writing.

1.4 Orgalim S2022 is provided by Winab on request.

§2 Delivery time and terms of delivery

2.1 The delivery time (YYYYWWD) in quotations and order confirmations refers to the planned date of dispatch from Winab.

2.2 Winab may adjust a confirmed delivery time in case of delays at sub-suppliers or material shortages in the market that Winab could not reasonably foresee. Winab shall inform the Purchaser of the new delivery time without delay. Such an adjustment does not entitle the Purchaser to liquidated damages or other compensation for delay, unless otherwise agreed in writing.

2.3 Unless otherwise agreed, delivery is made [FCA Winab, Ekerö (Incoterms 2020)].

§3 Prices and quotations

3.1 Quotations are valid for 30 days from the date of the quotation, subject to approved credit control.

3.2 Winab reserves the right to adjust confirmed prices for orders not delivered within 3 months from the order date, to the extent Winab’s costs for materials, components, energy or transport have changed.

§4 Inspection on receipt

4.1 The Purchaser shall inspect the goods on receipt.

4.2 Transport damage and visible damage to packaging shall be noted on the waybill on receipt and photographed.

4.3 Visible defects and shortages shall be notified to Winab in writing within 5 working days from receipt. Defects that should have been discovered at the inspection on receipt and that are not notified in time cannot be invoked later.

§5 Claims

5.2 The claim shall contain Winab’s order number, the wall or panel ID, a description of the defect, a drawing with the defect circled and pictures attached as files (PDF, JPG/JPEG, GIF or ZIP) with a measuring reference.

5.3 Defects that could not be discovered on receipt shall be notified without undue delay after the defect was or should have been discovered, and no later than the time stated in Orgalim S2022 clause 30.

5.4 Winab starts handling the claim when complete information has been received.

5.5 Defective parts shall be kept until Winab has advised how they are to be handled, and shall be returned to Winab on request (Orgalim S2022 clause 31).

5.6 Resellers and distributors are responsible for collecting the corresponding information from their customers.

§6 Surfaces and tolerances

6.1 Surfaces are assessed according to the surface class stated in the order or drawing, at normal viewing distance and in normal indoor lighting (600–1000 lux) for 5–10 seconds. A deviation that is not visible in such an assessment is not a defect.

6.2 Wood-based panels are delivered within the tolerances of the applicable EN standard and the manufacturer’s product data sheet. Minor variations in colour, texture and gloss between production batches are not defects.

§7 Storage, installation and use

7.1 The products shall be stored indoors in dry and heated conditions, and be installed, used and maintained in accordance with Winab’s instructions.

7.2 Winab is not liable for defects caused by improper storage, faulty installation not carried out by Winab, modification or processing after delivery, lack of maintenance or normal wear and tear (Orgalim S2022 clauses 25–27).

§8 Defects liability period

8.1 The defects liability period is 12 months from delivery (Orgalim S2022 clause 28). A longer period applies only if agreed in writing.

§9 The Purchaser’s own corrective actions

9.1 The Purchaser may, at its own risk, carry out corrective actions, for example engage its own or third-party installers or carry out repairs, and claim the costs from Winab.

9.2 The costs are reimbursed only after Winab’s review, to the extent Winab is liable for the defect and the costs are reasonable and do not exceed what it would have cost Winab to remedy the defect itself.

9.3 All costs shall be documented and submitted with the claim: specified invoices or receipts, hours worked and hourly rate, travel, materials and a description with pictures of the work carried out. 9.4 Whenever possible, the Purchaser shall inform Winab at claim@winab.se before the work starts.

9.5 Winab’s limitations of liability under Orgalim S2022 also apply to such costs.

§10 Unjustified claims

10.1 If Winab is found not to be liable for the claimed defect, Winab is entitled to compensation for its costs for investigation, travel and measures taken (Orgalim S2022 clause 36).

§11 Payment

11.1 Payment shall be made within 10 days from the invoice date, unless otherwise agreed.

11.2 Late payment interest is charged in accordance with Orgalim S2022.

11.3 A claim does not entitle the Purchaser to withhold payment of undisputed amounts.

§12 Disputes and governing law

12.1 The contract is governed by Swedish law (Orgalim S2022 clause 52).

12.2 By way of amendment to Orgalim S2022 clause 51, disputes shall be settled by the Swedish general courts, with Stockholm District Court as the court of first instance.

§13 Personal data

13.1 Winab processes personal data in accordance with the GDPR and Winab’s privacy policy at www.winab.se.

§14 Changes to the Supplementary Terms

14.1 Winab may update these Supplementary Terms. Each order is governed by the version
